TO THE PROJECT AGREEMENT BETWEEN

THE RESEARCH CORPORATION OF THE UNIVERSITY OF HAWAII

This Amendment No. _______, effective __________, 20___, is entered into between the ______________________________________________ (hereinafter referred to as “Department”) and the Research Corporation of the University of Hawaii (hereinafter referred to as “RCUH”) pursuant to the Master Agreement between the State of Hawaii and RCUH dated April 17, 1995 and the first amendment to the Master Agreement between the State of Hawaii and RCUH dated June 1999 (hereinafter collectively referred to as “Master Agreement”).

The Department and RCUH entered into that certain Project Agreement dated ________________, whereby RCUH agreed to provide the services described in the Project Agreement. The Department and RCUH hereby mutually agree to modify the Project Agreement as follows:

It is understood that this Amendment is supplemental to the Project Agreement entered into dated ____________________, and that all terms, conditions and provisions of that Project Agreement remain in full force and effect unless specifically modified, altered or changed herein.
